In this Agreement the following terms shall have the following meanings:
“SkillsGym” means CUTESolutions – SkillsGym BV (besloten vennootschap or BV), having its registered seat at 9830 Sint-Martens-Latem, Maenhoutstraat 76, and registered with the Crossroads Bank for Enterprises (Kruispuntbank van Ondernemingen) under enterprise number 0882.005.855
"Account": means collectively the personal information, Payment Information and credentials used by Users to access Paid Content and / or any communications System on the Website;
“Intellectual Property” or “Intellectual Property Rights” means all intellectual property rights, including all copyright, patent, trade secret, trademark, moral, termination, authorship, rights of publicity, privacy and other proprietary rights.
"Payment Information": means any details required for the purchase of Services from this Website. This includes, but is not limited to, credit / debit card numbers, bank account numbers and sort codes;
"Train the Trainer Program” means the certification program to become a SkillsGym trainer.
“Platform” means the online learning platform services provided by SkillsGym accessible through https://www.skillsgym.com/ or any successor or alternative sites we may inform You of or You may be aware of), including all Resources and software in or accessible through the Platform.
"Program" means the learning track for one or multiple topic(s).
The fee for the Train the Trainer program is payable either as a single payment of $11,955 or through five monthly installments of €2,800 each. Payment grants immediate access to the program as specified below.
Participants will have access to the Train the Trainer program, which includes:
• One year access to all current SkillsGym programs, start date after the 100-hour certification period.
• Certification upon successful completion of the program.
• Authorization to resell SkillsGym courses, providing blended learning experiences with potential for significant automated revenue.
• Sales and Marketing Toolkit, including marketing templates, sales tools, and pricing schemes.
• Bi-weekly live Q&A sessions, 10 weekly practice labs, monthly intervision with Sarah Cherif.
• Live half-day kick-off workshop
• Two online Master Classes
• Live Energy & Composure workshop with Nils, and 2 follow-up coaching sessions
The duration of the 100-hour certification process is self-paced. During this time, participants will have access to:
• Sales and Marketing Toolkit.
• 40 content-sessions covering the most popular programs.
• Scheduled workshops, master classes, and practice labs as detailed in the program schedule.
• Upon successful completion of the 100-hour certification process, participants will receive their certification and continued access to all programs. There is no refund right post-certification.
To be eligible for the SkillsGym Train the Trainer™ certification, participants must:
• Complete viewing of all required recordings for the 12 programs and the 2 masterclasses.
• Attend or view recordings of all support sessions.
• Complete 10 hours of student practice sessions, including submission of session reports.
• Attend three intervision sessions with Sarah Cherif, or watch recording.
• Conduct one demo sessions under observation, with feedback provided by the lead assistant.
6.1 Performance Guarantee
At SkillsGym, while we cannot guarantee that merely purchasing our course will directly result in increased revenue, we do stand behind our training and support systems. We offer a bold Performance Guarantee under the following conditions:
• You must be the legal owner of an established business entity and at least 5 years of relevant business experience at the time of the course purchase.
• Complete the mandatory hours of training.
• Submit a contact list with names of at least 150 HR or L&D managers contacted, detailing at least 15 follow-up interactions for each contact, 10 completed meetings that are in final negotiation phase (discuss proposal), and recordings of your sales calls to confirm adherence to prescribed sales scripts.
• You will notice us in time when you feel like you are making no progress. If after 5 proposal meetings you have not closed a deal yet, then contact us, so we have a chance to help you have success with the 5 other deals.
Guarantee: If you fully implement everything we teach, follow all lessons, and actively put the SkillsGym Sales & Marketing Playbook training into practice, we guarantee you will generate an additional $30,000 in 3 months. If this does not occur, we will refund your course fee and you will have had an amazing learning journey, building invaluable skills that will transform your business regardless.
5.2 Claim Submission
(i) You must submit your claim within the 4-month period upon certification.
(ii) All claims must be submitted with complete supporting documentation as specified above.
(iii) Assessment and Payment of Claims
• All claims will be assessed for validity by SkillsGym, with currency references in Euros.
• We reserve the right to verify all aspects of your claim and have the final discretion to determine if the SkillsGym Sales system has been correctly implemented.
• Any attempt to tamper with the claim process or submit misleading or fraudulent claims will lead to rejection.
• Once your claim is deemed valid, we will process the refund and any additional compensation within 30 calendar days of claim approval, transferring the funds directly into your nominated bank account.
This Performance Guarantee is our commitment to not just deliver training but to ensure it materially benefits your business, backing it with a substantial assurance of quality and support.
7.1 Ownership and Rights.
All training materials, content, videos, documents, and other resources provided as part of the Train the Trainer program ("Program Materials") are the exclusive property of SkillsGym. This includes all copyrights, trademarks, patents, trade secrets, and other intellectual property rights associated with the Program Materials.SkillsGym grants certified trainers a limited, non-exclusive, non-transferable license to use the Program Materials solely for the purpose of delivering training sessions under the SkillsGym brand guidelines.
7.2 Restrictions on Use. Certified trainers are not permitted to claim ownership of any SkillsGym intellectual property, modify the Program Materials for use under a different brand, or use the Program Materials in a way that suggests endorsement of their own products or services by SkillsGym.
The use of the SkillsGym name, logo, or other branded features in any modified program or new training content created by certified trainers must be clearly differentiated from SkillsGym proprietary content and must not imply any endorsement by SkillsGym.
7.3 Permitted Uses
Certified trainers may:
- Use SkillsGym marketing materials and testimonial cases in their proposals and promotional efforts for the purpose of delivering training under the SkillsGym framework.
- Modify SkillsGym Program Materials to tailor specific training sessions to the needs of their clients, provided that such modifications are clearly labeled as modified content and not presented as original SkillsGym content.
7.4 Prohibitions
Certified trainers may not:
- Reproduce, distribute, publicly perform, or publicly display SkillsGym Program Materials, except as specifically authorized in writing by SkillsGym.
- Use the SkillsGym brand to market their own training programs or to create derivative training materials that are branded as SkillsGym.
- Sell, license, rent, or otherwise exploit the Program Materials for commercial gain outside the scope of the authorized training sessions.
- Share the Program Materials with other trainers. Only SkillsGym certified trainers are allowed to deliver SkillsGym Program Materials.
7.5 Protection of Intellectual Property
SkillsGym actively protects its intellectual property rights. Any unauthorized use of SkillsGym materials may result in termination of the certification and/or legal action. Certified trainers are expected to notify SkillsGym of any unauthorized use of Program Materials that comes to their attention.
7.6 Contribution and Feedback
Any content or material modifications contributed by certified trainers to the SkillsGym Program Materials will become the property of SkillsGym without any compensation to the trainer. SkillsGym appreciates feedback and contributions but does not offer compensation for such enhancements to its program.
7.7 Intellectual Property and Usage of Branding
All program materials, including but not limited to training content, manuals, and marketing tools, are proprietary to SkillsGym and are protected by intellectual property laws. Participants may not reproduce, distribute, or create derivative works from SkillsGym materials without explicit written permission.
Licensed trainers are permitted to use SkillsGym marketing materials and may include SkillsGym testimonials and case studies in their proposals. However, trainers are not permitted to brand their own training programs as SkillsGym programs.
If licensed trainers create their own training content, they must clearly differentiate in their proposals what content is provided by SkillsGym and what content is their own creation.
While modifications to SkillsGym content are permitted, any altered content must not be branded or represented as original SkillsGym material. This ensures clarity and integrity in the offerings presented to clients and maintains the distinct identity of SkillsGym content.
8.1 SkillsGym does not guarantee employment or revenue outcomes as a result of certification.
8.2 SkillsGym shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the services, even if advised of the possibility of such damages.
9.1 SkillsGym reserves the right to terminate access to the program for any participant who fails to comply with these terms, including non-payment or breach of intellectual property rights.
9.2 SkillsGym will provide you with a refund if you cancel your enrollment prior to the start of your Certification Program and without having accessed any courses on the platform. Refunds will be issued to You within 45 days from the date of cancellation. If you attend all or part of the Program, no refunds will be provided.
9.3 We reserve the right to cancel a course due to insufficient enrollment, inclement weather, or other events beyond our control. In the event a class is canceled, we will notify you as soon as possible. You may reschedule for another date.
We may revise these Terms from time to time. The revised Terms shall apply to the use of our website from the date of publication of the revised Terms on the website, and You hereby waive any right You may otherwise have to be notified of, or to consent to, revisions of these Terms
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SkillsGym operates.
12.1. Certification and License Grant
Upon successful completion of the Train the Trainer certification program, trainers are granted a non-exclusive, non-transferable license to access and utilize SkillsGym programs and materials under the terms set forth herein.
Duration of Access: Certified trainers will have one year of access to all SkillsGym programs, the complete Train the Trainer program materials including Master Classes, and the Sales and Marketing toolkit.
Intervision Sessions: Access to monthly intervision sessions is included for the duration of one year following certification.
Resale Rights: Trainers are granted the rights to act as licensed resellers of the SkillsGym platform for a period of one year from the date of certification.
Usage of SkillsGym Brand: Certified trainers are permitted to use SkillsGym references, testimonials, and brand themselves as licensed SkillsGym Trainers for the duration of one year following their certification.
12.2. License Renewal
To maintain active certification, access to programs, materials, and reseller rights, trainers must renew their license annually.
12.3 Renewal Fee: The annual licensee fee is set at €4,000. This can be paid as a one-time payment or in three installments of €1,666 each.
Continuation of Benefits: Upon timely payment of the renewal fee, trainers will continue to enjoy the same access to programs, materials, reseller rights, and branding privileges as outlined above for an additional year.
Non-renewal: Failure to renew the license will result in cessation of access to SkillsGym programs, materials, the right to resell, and use of the SkillsGym brand as a certified trainer.
12.4. Terms of Use
Compliance with Brand Standards: Trainers agree to adhere to SkillsGym's brand guidelines and ethical standards in the delivery of all programs and use of marketing materials.
Quality Assurance: Trainers must ensure that the delivery of any SkillsGym programs or use of SkillsGym materials meets the quality standards set by SkillsGym. SkillsGym reserves the right to conduct audits or request feedback from clients to ensure compliance.
Modification of Terms: SkillsGym reserves the right to modify these terms and conditions with prior notice. Continued use of the license following such modifications constitutes agreement to the new terms.
12.5. Termination
SkillsGym reserves the right to terminate the license if trainers breach these terms and conditions, misuse the SkillsGym materials, or bring disrepute to the SkillsGym brand. Upon termination, all access rights and privileges as a licensed SkillsGym Trainer cease immediately.
